AGREEMENT AS TO TERMS OF SERVICE

By utilizing this website, you agree to be bound by these terms and conditions. This is a legal agreement (“Agreement”) between you and ArchaiQ (“AiQ”) regarding your access to AiQ’s reports and analytics (“Services”).

The Services

The Services are a research product relating, in part, to exchange-traded commodity futures and options (“Commodity Interest(s)”). The Services are provided by affording subscribers to the Services (“Subscriber(s)”) with access to AiQ’s database and modeling, which provides Subscribers with information regarding how actual weather and weather forecasts may impact a Subscriber’s crop yields. The Services may also result in Subscribers receiving information regarding how Commodity Interests may be used to hedge the risk associated with a Subscriber’s cash position. The Services rely on models generated by Artificial Intelligence (“AI Models”) based on AiQ proprietary algorithms and data provided by Subscribers. The Services also rely on Large Language Models (“LLM(s)”) to communicate with Subscribers.

AiQ has complete control over the content of the Services. The methodology, format and features of the Services can be changed at any time and without notice to Subscribers. AiQ has complete control over the delivery method and format of the Services. File types, passwords, applications and plug-ins required for access to the Services can be changed at any time. AiQ reserves the right to monitor your use of the website, to limit or terminate your access to this website, and to cancel your access to any of the Services if you do not pay your subscription fees or if you fail to observe any of the terms this Terms of Service.

Risk of Loss

By subscribing to the Services and viewing this website, you fully understand and agree that all Commodity Interests markets are subject to numerous implicit and explicit risks, none of which AiQ can control or influence. You therefore acknowledge and agree that all investment decisions you may make, including decisions that take into account or rely on any information provided or made available by or from the Services, are yours and yours alone and are made solely at your own risk. You should be aware of all the risks associated with trading and investing and you should seek advice from an independent financial advisor before making any trading or investing decisions.

The risk of loss in trading can be substantial. You should, therefore, carefully consider whether such trading is suitable for you in light of your financial condition. When trading on margin, you may sustain a total loss of the initial margin funds and any additional funds that you deposit with your broker to establish or maintain a position. Before deciding to trade and/or invest, you should carefully consider your objectives, level of experience, and risk appetite. The possibility exists that you could sustain a loss of some or all of your initial investment and therefore you should not trade or invest money that you cannot afford to lose.

You also agree to bear complete responsibility for your investment research and decisions and acknowledge that AiQ has not and will not make any specific recommendations to you or any of its Subscribers upon which you or any of them is entitled to rely. You also understand that the information disseminated on this website or as part of the Services represent impersonalized, disinterested opinions and commentary of AiQ and its employees and agents, or may only represent the views of other subscribers or visitors, but that none of them constitutes a solicitation or recommendation to buy or sell a particular investment. In addition, you also understand that the information disseminated on this website or as part of the Services relating to Commodity Interest does not constitute Commodity Interest trading advice based on, or tailored to, your Commodity Interest or cash market positions or other circumstances or characteristics unique to you.

Registration

You understand that AiQ is not registered or licensed with any state or federal agency, such as the Securities and Exchange Commission or the Commodity Futures Trading Commission (“CFTC”). Further, you understand that AiQ is not a member of any financial services industry self-regulatory organization, such as the National Futures Association or the Financial Industry Regulatory Authority. Because of this, you understand that AiQ is not subject to many of the regulatory requirements that are applicable to registered or licensed financial participants.

Accuracy of Information

Every effort has been made to ensure that the information on this website is accurate and complete, but neither AiQ, nor our officers, principals, employees or agents shall be liable to any person for any losses, damages, costs or expenses (including, but not limited to, loss of profits, loss of use, direct, indirect, incidental or consequential damages) resulting from any errors in, omissions of or alterations to the information. The foregoing shall apply regardless of whether a claim arises in contract, tort, negligence, strict liability otherwise.

Third Party Information

AiQ Trading Activity

In certain instances, AiQ, its affiliates, and/or its personnel may hold opposite positions in the investment products than the positions commented on this website or referenced in the Services.

Limitation on Use

You understand that any information obtained as a result of your access to the website or use of the Services is solely for your use. Your access to the Services is limited to one end user per subscription. If your subscription is held by an entity (as opposed to an individual), you agree that the end user afforded access to the Services will be a person within the entity charged with making investment and/or trading decision for such entity, and that information and/or analytics you receive as a result of your participation in the Services may not be distributed, disseminated or transmitted internally among the employees and/or agents of the entity. Further, you agree that you will not distribute, disseminate or transmit the information and/or analytics you receive as a result of your participation in the Services to any third party, and will not allow third parties access to such information or the Services. In addition, you agree that the analytics and the information and data contained therein may not be sublicensed or sold to anyone, and that such analytics, information and data may not be repackaged, modified, decompiled and disassembled, except for your use as permitted under this Agreement.

Retention of Rights

AiQ retains complete rights to all documents, data and information made available or distributed on this website or referenced in the Services. Subscribers and visitors to this website are not entitled to any information about or access to the underlying methodologies, components, data series, variables used, or other information used by AiQ beyond that which is provided on this website or as a result of a Subscriber’s use of the Services.

Performance Statistics

AiQ has not undertaken to verify the completeness or accuracy of any of the information and statistics provided by third parties. While the information and statistics given are believed to be complete and accurate, we cannot guarantee their completeness or accuracy.

As a term and condition of your use of this website, you expressly hold AiQ harmless and waive any claim you have or may have as a result of any of the information and statistics provided by third parties contained on this website being incomplete or inaccurate.

Choice of Law; Venue

This Agreement will be governed by the laws of the State of Texas without giving effect to the conflicts of law provisions thereof. You agree that any dispute with respect to this Agreement shall be subject to the exclusive jurisdiction of the State courts located in Hartley County, Texas (or the Federal District Court closest to Hartley County, Texas) and courts with appellate jurisdiction therefrom and you hereby submits to the personal jurisdiction of such courts over you and expressly waives any claim of improper venue and any claim that such courts are an inconvenient forum. You acknowledge that a breach of any provision of this Agreement would cause AiQ irreparable injury and damage not remediable through monetary damages. Accordingly, you hereby waive any requirement for the securing or posting of any bond or other security or the showing of actual monetary damages or that money damages would not afford an adequate remedy in connection with a claim for equitable relief in relation to any such breach, threatened or actual, and such right shall be in addition to, and not in lieu of, any other rights and remedies available to AiQ at law or in equity. In the event that AiQ is the prevailing party in any action brought under this Agreement, you agree that AiQ Party shall be entitled to reimbursement from you for any expenses incurred in connection with such proceeding (including reasonable attorney fees, disbursements, costs of court and costs of litigation, if any).
